DEFINITIONS |

|
| 1.1 |
In these terms and conditions: “Benefits” means the additional special privileges and arrangements offered or available to the Member from time to time in accordance with their Membership Level after the Member’s enrolment in the Program;
“Conversion” means when Members convert their Escape Points available on their Points Balance to receive a particular reward (including Escape Dollars).
“Escape Club Card” means the Escape Club card issued to the Member by the Promoter pursuant to the Member’s enrolment in the Program which indicates the Member’s Membership Level;
“Escape Dollars” means the unique currency for this Program that can be obtained through Conversion. Escape Dollars may be used as payment (in increments of 50 only) at Participating Hotels (excluding any goods or services offered by a third party at a Participating Hotel) and any other goods/services provided by selected Program partners (“Program Partner Goods/Services”), as determined by the Promoter from time to time;
“Escape Points” means the points that can be credited to a Member’s Points Balance, depending on the Member’s Expenditure.
“Expenditure” means the actual dollar amount spent (and fully paid for) by a Member at a Participating Hotel on accommodation (up to a maximum of 5 rooms per night), food and beverages, and other incidental expenses. Expenditure includes GST.;
“Member” means the individual whose name is printed on the Escape Club Card and who is 18 years of age or over and not in the employment of Touraust Corporation or its subsidiaries;
“Membership Level” means one of the following membership levels which the Promoter in its absolute discretion determines is the appropriate level for the Member at any time based on the Expenditure by the Member:
(a) Silver Level;
(b) Gold Level; and
(c) Diamond Level;
“Participating Hotels” means the hotels nominated by the Promoter from time to time.
“Points Balance” means the total number of points recorded on the Member’s account that is available for the purposes of Conversion, in accordance with these Terms and Conditions.
“Promoter” means Touraust Corporation Pty Ltd (ACN 057 599 461) of 151 Darley Road, Manly in the State of New South Wales 2095 (trading as Constellation Hotel Group);
“Program” means this Constellation Hotel Group Escape Club program which program which supercedes and replaces the previous Escape Club Program; |

| 1.2 |
By enrolling into the Program and by signing and/or using the Escape Club Card the Member agrees to be bound by these terms and conditions, and any amendments made to them from time to time, and any rules, policies or procedures that may be adopted by the Promoter from time to time (“Program Rules”). Any failure to comply with these Terms and Conditions and the Program Rules or any misrepresentations of information to the Promoter or its agents may result in the termination of the Member’s enrolment in the Program and in that event, the Member’s Points Balance and, any rights to any benefits or accumulated rewards may be cancelled at the Promoter’s discretion. These terms and conditions and the Program Rules may be changed, amended or varied at any time by the Promoter in its absolute discretion without notice, and without assigning any reason therefore, and without liability. Furthermore, the Promoter reserves the right to terminate the Program in whole or in part in its absolute discretion at any time without prior notice and without liability. |

| 1.3 |
The Promoter reserves the right at any time in its absolute discretion and without notice to revoke/terminate or suspend the Member’s enrolment in the Program and/or the right of the Member to use the Escape Club Card. |
|
|
| 1.4 |
The Promoter’s decision on all matters pertaining to the Program and the use of the Escape Club Card is final and binding. |
|
|
| 2. |
APPLICATION TO ENROL IN THE PROGRAM |
|
|
| 2.1 |
Enrolment in the Program is not available to businesses or companies. |
|
|
| 2.2 |
To enroll as a Member, individuals must log onto www.escapeclub.com.au, then fully complete and submit the membership form (including an email address) OR call Central Reservations on 1300 650 464 during business hours, request to enroll as a Member in the Program and provide all personal details (including an email address), as prompted, by the operator OR fully complete a hardcopy application form (including an email address) and submit it at the front desk of any Participating Hotel. All applicants must ensure that all details provided on their application are correct. Incomplete applications will not be processed. |

| 2.3 |
The Promoter, in its absolute discretion, reserves the right to refuse any application and will not be obligated to provide any supporting reason for an application that has been refused. |
|
|
| 2.4 |
Upon successful enrolment into the Program, the new Member will receive a membership pack, including a personalised Escape Club Card (with a unique membership number), within fourteen (14) working days of their application being approved. |
|
|
| 2.5 |
Members may terminate their enrolment in the Program at any time by notifying the Promoter in writing and sending back their Escape Club Card to PO Box 849 Manly NSW 1655. In such case, the Member’s Points Balance, any rights to any accumulated rewards or benefits as at termination, will forfeited and the membership will be cancelled. |

| 3. |
ESCAPE CLUB CARDS |
|
|
| 3.1 |
The Escape Club Card is valid for use by the Member only during the period indicated on the card. |
|
|
| 3.2 |
Each Escape Club Card is personal to the Member and is not transferable. Each Member can maintain only one Escape Club Card for all business and personal needs of that Member. |
|
|
| 3.3 |
For the Escape Club Card to be valid, the Member must sign the reverse of the Escape Club Card in the area provided. |
|
|
| 3.4 |
The Escape Club Card is and shall remain at all times the property of the Promoter. |
|
|
| 4. |
ESCAPE POINTS AND POINTS BALANCE |
|
|
| 4.1 |
A Member will be eligible to earn one Escape Point for every dollar, including GST, that he/she spends at a Participating Hotel (up to a maximum of 5 rooms per night). Escape Points will be rounded to the nearest dollar. For example if the Member spends $128.60, the Member will be eligible for 129 Escape Points. If the Member spends $200.20, the Member will be eligible for 200 Escape Points. A Member must present his/her signed Escape Club Card at the front desk of the Participating Hotel at the time of check-in and check-out to have the relevant number of Escape Points credited to the Member’s Points Balance. However, if the Member uses ‘Express Check-out’, the Member can have the relevant number of Escape Points credited to the Member’s Points Balance during their next stay at a Participating Hotel by presenting their Participating Hotel invoice and Escape Club Card at the front desk of the Participating Hotel during their next stay. Escape Points will not be credited unless there is an Escape Club Card presented at the relevant times stipulated herein. Allow 24 hours from check-out for Escape Points to be credited to a Member’s Points Balance. |

| 4.2 |
A Member cannot earn Escape Points under this Program and earn Qantas Frequent Flyer points under the Qantas Frequent Flyer Programme or any other points earning program supported by Constellation Hotels, for the same transaction. Members must present either their Escape Club Card OR their Qantas Frequent Flyer Card (not both). |

| 4.3 |
Escape Points will not be credited to a Member’s Points Balance retrospectively (unless an error has been made by a Participating Hotel or the Promoter). |
|
|
| 4.4 |
Members will be notified of their Points Balance when they check-out of a Participating Hotel (by way of a printed receipt). Members may also check their Points Balance at any time at the front desk of a Participating Hotel, on-line at www.escapeclub.com.au or by calling the Promoter at Central Reservations. From time to time, the Promoter may also directly notify Members of their Points Balance. |

| 4.5 |
At any one time, a Member’s Points Balance may not exceed 25,000 in Escape Points. If a Member’s Points Balance reaches 25,000 in Escape Points, no further Escape Points can be earned and credited to the Member’s Points Balance until the Member’s Points Balance is reduced. |
|
|
| 4.6 |
Each Member is responsible for ensuring the accuracy of their Points Balance as notified to them by a Participating Hotel and/or the Promoter from time to time. To be eligible for review by the Promoter, any discrepancies must be brought to the attention of the Promoter within thirty (30) days of the Member receiving notification of their Points Balance. If a Member contends that the Escape Points for a particular stay has not been credited, or in cases where the Promoter deems that verification of the Expenditure is required, the Promoter reserves the right to require proof of the Expenditure from the Member in the form of a Participating Hotel invoice. The Promoter reserves the right to reverse any Escape Points incorrectly credited to a Member, or otherwise in breach of these terms and conditions at any time without liability. |

| 4.7 |
All Escape Points credited to a Member’s Points Balance will not expire as long as the Member remains an active Member. The Points Balance of a non-active Member will be erased without notice at the end of the 24th consecutive month for which the Member has not been active. Once a particular Member’s Points Balance has been erased, any Escape Points previously credited to the Points Balance cannot be re-credited. The Promoter is not liable in any way for any Points Balance that has been erased. |

| 5. |
CONVERSION |
|
|
| 5.1 |
Once the Member’s Points Balance reaches a minimum of 1,000 in Escape Points, the Member (regardless of their Membership Level) may convert the Escape Points from their Points Balance for particular rewards. |
|
|
| 5.2 |
The Conversion table below outlines the Escape Points necessary for Conversion of the relevant reward:

| 5.3 |
The Promoter may offer additional rewards from time to time and the relevant Escape Points required for Conversion to these rewards will be determined by the Promoter in its discretion and advertised to Members accordingly. |
|
|
| 5.4 |
"Two Nights Accommodation" Reward
| (a) |
The ‘Two Nights Accommodation’ reward entitles the Member to two (2) nights accommodation for up to 2 adults (one adult must be the actual Member redeeming the accommodation) and 2 children (aged 12 years or under) in a standard single, twin or double room (as the case may be) at a Participating Hotel. The two (2) nights accommodation must be taken in consecutive nights at one Participating Hotel. |
| (b) |
To convert Escape Points (which is available on the Member’s Points Balance) to a ‘Two Nights Accommodation’ reward, the Member must call Central Reservations, request Conversion of their Escape Points to this reward, quote their Escape Club Card membership number, and make the relevant reservation for accommodation at a Participating Hotel. Also refer to conditions 9.3 and 9.4. |
| (c) |
The relevant number of Escape Points will be deducted from the Member’s Points Balance at the time the accommodation reward is taken. Once the relevant number of Escape Points is deducted from the Member’s Points Balance, the relevant number of Escape Points will not be re-credited (unless an error has been made by the Promoter). |

| 5.5 |
"Gold Escape Club Card" Reward
| (a) |
To convert Escape Points to a ‘Gold Escape Club Card’ reward, the Member must submit a fully completed ‘Gold Card Reward’ application form to the front desk at any Participating Hotel and present their Escape Club Card. |
| (b) |
A Member may choose to use the ‘Gold Escape Club Card ’ reward to:
(i) upgrade their own membership for one year;OR
(ii) nominate an individual who is not currently a Member of Program to receive the Gold Escape Club Cardas a gift.
In such case, the recipient of the new Gold Escape Club Card will be enrolled in the Program as a Gold Level Member, subject to the Promoter’s usual approval process, and the Gold Level Membership will be valid for one year.
In addition, the recipient of the new Gold Escape Club Card, will also be entitled to receive the following one-off benefits: (i) ‘One Night Complimentary Accommodation at a Participating Hotel’ (one-off benefit and not per stay) AND (ii) Two x ‘Complimentary Full Hot Breakfast’ (one-off benefit and not per stay). |
| (c) |
The recipient of the new Gold Escape Club Card will receive their ‘Gold Level Membership’ pack, including a personalised Gold Level Escape Club Card (with a unique membership number) and within fourteen (14) working days of Conversion to that reward. |
| (d) |
The relevant number of Escape Points will be deducted from the Member’s Points Balance once the Gold Card Reward application form is processed and approved by the Promoter. Once the relevant number of Escape Points is deducted from the Member’s Points Balance, the relevant number of Escape Points cannot re-credited (unless an error has been made by the Promoter). |

| 5.6 |
"Escape Dollars " Reward
| (a) |
Escape Points from the Member’s Escape Balance will automatically be converted to Escape Dollars and electronically deducted from the Member’s Points Balance when the Member elects to use Escape Dollars as full or part payment at Participating Hotels (excluding use for any goods or services offered by a third party at a Participating Hotel) or to purchase any Program Partner Goods/Services from time to time. |
| (b) |
Escape Points can only be converted to Escape Dollars in increments of 1,000 Escape Points. Escape Dollars can only be used in increments of 50 Escape Dollars. For example, if a Member has a hotel bill for $85 cash, the Member may pay this bill using either (i) one lot of 50 Escape Dollars and $35 cash; OR (ii) two lots of 50 Escape Dollars (100 Escape Dollars in total) and no change will be given or refunded to the Member as cash, as Escape Points or as Escape Dollars. |
| (c) |
Use of Escape Dollars at Participating Hotels: Where Escape Dollars are to be used as full payment for the Member’s stay at a Participating Hotel, the Member must make a reservation with Central Reservations. Refer to conditions 9.3 and 9.4. Where Escape Dollars are to be used as part payment for a Member’s stay at a Participating Hotel or for dining at a Participating Hotel, the Member does not need to make a prior reservation with Central Reservations, however the Member must, prior to their hotel bill being finalised, advise the Participating Hotel that Escape Dollars will be used as part payment and present their Escape Club Card at this time. |
| (d) |
Use of Escape Dollars on Program Partners Goods/Services: Goods and services provided by Program Partners are subject to Program Partner terms and conditions and will only be arranged by the Promoter in its absolute discretion. The Promoter makes no warranty as to whether any Program Partner Goods/Services will be available at any time or to the range and nature of such goods and services. |

Escape Dollars are not exchangeable for actual cash and are not transferable between Members. |

|
| 6. |
MEMBERSHIP LEVELS |
|
|
| 6.1 |
The Promoter in its absolute discretion will determine Membership Levels of Members in each case. However, in determining a Membership Level, the Promoter may have regard to Member’s Expenditure since their commencement in the Program, as follows:

| 6.2 |
Once achieved by a Member, Gold and Diamond Levels are valid for a minimum of three (3) years. Gold Level Memberships that have been received as a reward (see condition 5.5) or have been purchased (see condition 7) will only be valid for one year. |

| 6.3 |
The Promoter will review all memberships annually. Subject to condition 6.2, the Promoter in its absolute discretion will determine whether a Member will be upgraded or downgraded or retain the same Membership Level. |
|
|
| 6.4 |
After the 3 year period referred to in condition 6.2, the retention of a Gold or Diamond membership will be dependent on the Member’s Expenditure in that preceding three (3) years. Listed in the table below is the Expenditure required for Members to retain a Gold or Diamond Level membership (as the case may be), after the 3 year period.

PURCHASING A GOLD ESCAPE CLUB CARD |
|

| 7.1 |
At any time, Members and non-members may purchase, at the cost of $159 cash, a one (1) year Gold Escape Club Card. A Gold Escape Club Card can be purchased on-line at www.escapeclub.com.au or via Central Reservations on 1300 650 464, but not at Participating Hotels. The Promoter reserves the right to refuse any application for a Gold Escape Club Card. After the one year term, the Promoter will review the membership and will determine, in its absolute discretion, whether the Member will be upgraded or downgraded or retain the same Membership Level depending on their Expenditure in the preceding year. |

| 7.2 |
Members who have purchased a Gold Escape Club Card will, in addition to the usual Gold Level Benefits, receive the following two one-off benefits: (i) ‘One Night Complimentary Accommodation at a Participating Hotel’ (one-off benefit for the overall one year period and not per stay); and (ii) Two x ‘Complimentary Full Hot Breakfast’ (for the overall one year period and not per stay). |

| 9. |
GENERAL CONDITIONS |
|
|
| 9.1 |
The 'One Night Complimentary Accommodation at a Participating Hotel' benefit is in a standard single, double or twin share room. To redeem a 'One Night Complimentary Accommodation at a Participating Hotel' benefit, the relevant Gold Escape Club Card Member must make a reservation for their accommodation via Central Reservations and state that they would like to redeem this benefit pursuant to their Gold Escape Club Cardmembership. Also, refer to conditions 9.3 and 9.4 |

| 9.2 |
To redeem a ‘Complimentary Full Hot Breakfast’ benefit the relevant Gold Escape Club Card holder must present their Escape Club Card to the restaurant staff at the Participating Hotel at the time of dining. |
|
|
| 9.3 |
Where rewards require accommodation reservations to be made via Central Reservations, the Member must quote their Escape Club Card membership number at the time of booking and the Member’s Escape Club Card must be presented at the time of check-in and check-out at the Participating Hotel in each case. Reservations at Participating Hotels are subject to allocation and the availability at the time of reservation. Blackout dates may apply to seasonal periods, including school holidays, public holidays and/or special event periods. Room allocations fill quickly during special events, school holiday, public holidays and weekends, and no guarantee can be given that a particular room will be available at any Participating Hotel, or for the days that the individual Member may prefer. Other restrictions may also apply. Check with Central Reservations prior to booking. |

| 9.4 |
If a Member wishes to cancel a reservation, the Member must do so by contacting Central Reservations and advising of the relevant cancellation. If the Member does not cancel the reservation before 6pm on the day before the schedule arrival at the Participating Hotel pursuant to the reservation, the Promoter will charge the Member’s credit card the standard cancellation fee relevant for their reservation. |

|
| 9.5 |
The Promoter may, in its discretion, automatically cancel any Membership that is inactive for 24 consecutive months. No termination notice will be given if the Membership is terminated due to 24 consecutive months of inactivity. |
|
|
| 9.6 |
Escape Points, rewards (including Escape Dollars), Benefits and any Program Partner Goods/Services are not redeemable for cash and are not assignable. Escape Points, rewards, Benefits and any Program Partner Goods/Services are not transferable unless otherwise stipulated in writing by the Promoter on a case by case basis as determined by the Promoter in its absolute discretion. Rewards, Benefits and any Program Partner Goods/Services are subject to any additional conditions which are provided to the Member. The Promoter accepts no responsibility for a variation in the value of any of the rewards, Benefits or any Program Partner Goods/Services. |

| 9.7 |
The rewards, Benefits and any Program Partner Goods/Services are offered at the absolute discretion of the Promoter and the Promoter expressly reserves the right to withdraw, cancel, vary or in any way change at any time without notice any of the rewards, Benefits or Program Partner Goods/Services offered or advertised as available to the Member. In that event, the Promoter shall not be held liable for any loss or damage suffered by the Member resulting from such withdrawal, cancellation, variation or change. All rewards, Benefits and any Program Partner Goods/Services are subject to availability and the Promoter does not guarantee or warrant in any way that the rewards, Benefits or any Program Partner Goods/Services offered under the Escape Club Card or Program will be available. The Promoter will not be liable for the refusal of any entity providing the rewards, Benefits or Program Partner Goods/Services to Members. |

| 9.8 |
Any arrangements for the availability and utilisation of any rewards, Benefits or Program Partner Goods/Services offered by third parties through the Program are made by the Promoter solely as agent for the entity providing such goods/services. The provision of rewards, Benefits or any Program Partner Goods/Services will be subject, in each case, to the terms and conditions of each entity providing such rewards, Benefits or Program Partner Goods/Services as this shall constitute the sole contract between the entity providing the rewards, Benefits or Program Partner Goods/Services and the Member. The Promoter shall not be liable for any loss or damage whatsoever suffered (including but not limited to indirect or consequential loss) or for personal injury suffered or sustained by a Member as a result of participating in this Program and/or redeeming or utilising any rewards, Benefits or Program Partner Goods/Services, except for any liability which cannot be excluded by law. |
|
|
| 9.9 |
Whenever the Escape Club Card is used in order to obtain or utilise the rewards, Benefits or any Program Partner Goods/Services, the Member will be liable for any and all costs, charges, claims or obligations of whatsoever nature and howsoever arising from or incurred in connection with obtaining or utilising the rewards, Benefits or Program Partner Goods/Services. The Promoter shall not be liable for any loss or damage whatsoever which is suffered (including but not limited to indirect or consequential loss) or for any personal injury which is suffered or sustained, as a result of participating in the Program and/or taking and using any of the rewards, Benefits or Program Partner Goods/Services, except any liability which cannot be excluded by law. |

|
| 9.10 |
In the event of loss or theft of an Escape Club Card it is the Member’s responsibility to immediately advise the Promoter. The Promoter will not be liable for misuse of a lost or stolen Escape Club Card. |
|
|
| 9.11 |
Nothing in these terms and conditions affects any rights a Member may have under any statute including the Trade Practices Act (1974). |
|
|
| 9.12 |
Liability for any tax on any rewards, Benefits, or Program Partner Goods/Services provided to Member’s pursuant to their enrolment in the Program shall be the sole responsibility of the Member. It is recommended that Members should contact their own accountant or taxation advisor in this regard. |
|
|
| 9.13 |
The Promoter is not responsible for any incorrect or inaccurate information, either caused by the phone user or website user or for any of the equipment or programming associated with or utilised in this Program, or for any technical error, or any combination thereof that may occur in the course of the administration of this Program including any omission, interruption, deletion, defect, delay in operation or transmission, communications line or telephone, mobile or satellite network failure, technical problems or traffic congestion on the Internet or website, software failure, theft or destruction or unauthorised access to or alteration of applications and any injury or damage to Member’s or any other person’s computer related to or resulting from participation in or down-loading any materials in this Program. |

| 9.14 |
If for any reason this Program is not capable of running as planned (including but not limited to) technical failures, unauthorised intervention, fraud or any other causes beyond the control of the Promoter which corrupts or affect the administration, security, fairness, integrity or proper conduct of this Program, the Promoter reserves the right in its sole discretion to disqualify any individual who tampers with the Program process and to cancel, terminate, modify or suspend the Program. |

|
| 9.15 |
These terms and conditions shall be governed by and construed in accordance with the laws of the State of New South Wales. |
|
|
| 9. |
PRIVACY |
|
|
| 10.1 |
The Promoter collects and retains personal information about Members in order to conduct the Program and to provide Members with a broad range of information in relation to tourism, hospitality and services and to assist in delivering a better service to its customers. If the information requested is not provided, the Member may not participate in the Program. By enrolling in the Program, unless otherwise advised, each Member also agrees that the Promoter may use this information, in any media for future promotional, marketing and publicity purposes without any further reference, payment or other compensation to the Member, including sending the Member electronic messages.
